Preamble
The "Item" designates one or more objects complying with Article 1 below. The purpose of the RDS® contract est que le Vendeur souhaite vendre son bien, à l'Acheteur qui se propose de le lui racheter, sous réserve de l'expertise et de l'évaluation que l'acheteur réalisera à réception du bien envoyé par le Vendeur. Le contrat RDS® est valide entre, ci-après dénommé le Vendeur (pouvant être un particulier ou un professionnel), et la société VIRTU LUXURY SAS ci-après dénommée l'Acheteur. Le Vendeur certifie être majeur et en capacité de contracter avec l'Acheteur, résider en France, agir à titre professionnel avec mandat ou agir à titre privé, jouir de la pleine propriété du bien envoyé, que ce dernier est libre de tout gage, restriction ou réserve et n'a pas été acquis illégalement.
Article 1: Items Subject to the RDS® Service
The Buyer repurchases the Property contained in the secure RDS® kit, in accordance with the following. The Property is part of one of these categories: precious metals (Gold, Silver, Platinum, Palladium, Osmium) in their various forms (Jewelry, Broken jewelry, Coins, Ingots, Dental gold, Scrap, Charms, Decorative objects, Utility items, etc.). The Property peut aussi être du plaqué or, du métal argenté ainsi que les diamants incrustés dans le Bien si ces derniers peuvent en être désolidarisés avant la fonte, sinon ils seront détruits et non rachetés. Par ailleurs, l'Acheteur rachète les diamants non montés, avec ou sans certificats, ainsi que le Bien de collection : pièces et médailles numismatiques, oeuvres d'art et d'artisanat d'art, peintures anciennes ou modernes signées, sculptures signées, bijoux de Marque et montres de marques de luxe.
Article 2: RDS® Kit Request Procedure - "My Account" Area, "My Sales" Section
Après avoir cliqué sur "Sell Online" ou "Request My Kit" ou "Request my RDS® Kit", le Vendeur commande son kit RDS® en renseignant un formulaire, ce qui lui permet de renseigner ses informations personnelles (as an individual and/or as a representative of a legal entity) et le moyen de paiement par lequel il souhaite être payé, chèque ou virement bancaire. Le Vendeur peut ensuite procéder à la signature du contrat RDS® et au téléchargement de ses justificatifs (valid ID, recent proof of address, bank details, etc.). Par mail et via la rubrique "My RDS® Sales" de son espace "Mon Compte", le Vendeur est informé de l'évolution du parcours de traitement de son kit RDS®, de l'Offre de rachat et de sa mise en paiement, tout comme le Vendeur peut agir depuis ce même espace pour signer tous ses contrats RDS®, accepter ou refuser l'Offre de rachat qui lui est faite par l'Acheteur. Article 3: Use of the RDS® Kit - Secure Transport, Insurance Included up to €100,000.00
The Seller receives the RDS kit® accompanied by its user manual. The Seller agrees to follow the instructions in the user manual when filling out their RDS kit®. Depending on whether the estimated value of the goods for sale is less than or greater than €5,000.00, the composition of the RDS Kit® sera différente et le mode de transport du Kit du Vendeur vers l'Acheteur, également. En effet, si l'estimation dépasse 5000,00€ alors le Vendeur remet son kit RDS® rempli fermé et scellé en mains propres au transporteur qui assure le Kit remis à hauteur de 100.000,00€. Le kit transite par les coffres des bureaux de collecte de départ et d'arrivée, il n'est donc pas livré directement dans les locaux de l'Acheteur. L'Acheteur ne pourra être tenu responsable en cas de perte ou de quelconques désagréments causés par le transporteur ou un tiers. Toutefois, le Bien est assuré à hauteur potentielle de 100.000 euros, il appartient au Vendeur de veiller à ce que son envoi ne dépasse pas la valeur assurée, et de prouver conformément aux régies du code civil, la valeur effective du Bien qui aurait été perdu par le transporteur. Dans le cas où l'estimation du Bien en vente est inférieure à 5000,00€, le Vendeur devra fermer et sceller son kit RDS® dans l'enveloppe "Valeur Déclarée" envoyée par l'acheteur dans le Kit, puis la déposer auprès du bureau "La Poste" le plus proche en déclarant simplement la valeur du Bien pour assurer son envoi à l'Acheteur. L'envoi en "valeur déclarée" par La Poste est assuré à hauteur de 5000,00€ (en savoir plus sur les conditions d'envoi en valeur déclarée par La Poste: https://www.laposte.fr/entreprise-collectivites/valeur-declaree ). L'Acheteur rembourse au Vendeur les frais d'envoi et d'assurance liés à l'envoi en valeur déclarée, si le Vendeur accepte l'offre de rachat de l'Acheteur. (voir Article 7 du présent contrat).
Article 4 - Appraisal, Price Setting, Issuance of Buy-Back Offer - Acceptance / Refusal of Offer
The Item is inspected by the Buyer. During authentication tests, the appearance and shape of the entrusted Item may change and bear the marks of the tests performed, which is expressly accepted by the Seller.
- Precious Metal Goods (coins, bars, jewelry) are valued according to their weight, purity, marketability, and the official prices of the metals in question.
- Designer Jewelry and branded watches are valued according to their second-hand market quotation, condition, presence or absence of authenticity certificates and original boxes.
- Numismatic medals and collectible coins in cases are valued according to: metal, weight, condition, presence or absence of authenticity and grading certificates (CGB, PCGS, NGC, etc.).
- Works of Art are valued according to the artist's reputation, the type of work, its condition, and the presence or absence of its authenticity certificate.
- Les gemmes (diamants, saphirs, émeraudes, rubis) supérieurs à 1 Carat, sont évalués selon 6 critères : naturel/ synthétique, poids (nombre de Carats), pureté, couleur, taille, et présence ou non de certificats de gemmologie (GIA, HRD, etc). Si les poids unitaires sont un-à-un inférieurs à 1 carat, il s'agit alors d'éclats seulement dont la valeur est inférieure, l'Acheteur applique toutefois une prime de dédommagement en faveur du Vendeur. The buy-back price is set on the day the Buyer issues the buy-back Offer at their premises. The Buyer cannot be held responsible for the difference between the informative value of the estimate on the day the Seller orders their RDS kit.®, et le prix de rachat s'il est inférieur à l'estimation le jour où l'Acheteur édite l'Offre de rachat. L'Offre faite au Vendeur est disponible sur son espace client rubrique "Mes Ventes RDS®" au plus tôt 48 heures et au plus tard 96 heures à partir de la réception du kit envoyé par le Vendeur à l'Acheteur. L'Offre de rachat est accompagnée d'une photo du Bien racheté (read Article 1), and if applicable, a photo of the items not bought back (photo taken on a metrological precision scale with a green label checked and approved annually). The Seller is free to accept or refuse the Buy-Back Offer by clicking on the "Accept" button or the "Refuse" button, in the "My RDS® Sales" section of their "My Account" client area.
Article 5: Withdrawal Period
Dealing exclusively with precious metal jewelry, and not concerning investment precious metals (coins, tokens, and bars), the Seller has a 48-hour withdrawal period. Article R.224-4 of the Consumer Code provides that the execution of contractual obligations, in this case of this RDS contract®, incumbent on both parties (Buyer and Seller), is suspended until the expiration of the 48-hour withdrawal period. Thus, in accordance with Article R.224-7 of the same code, to exercise their right of withdrawal R.224-4, the Seller, after having accepted the Buy-back Offer from their client area, section "My RDS® Sales", may express their decision to withdraw by informing the Buyer by email at "contact@virtuluxuxry.com" and by sending a withdrawal certificate by mail, attesting to the date and time of dispatch to: "VIRTU LUXURY SAS, RDS Withdrawal Service, 10 Cours Franklin Roosevelt 13001 Marseille", no later than 47 Hours 59 Minutes and 59 Seconds from the timestamp of their acceptance of the Buy-back Offer. If the 48-hour period normally expires on a Saturday, Sunday, or a public holiday or non-working day, it is extended until the next working day at the same time. The dispatch or delivery of the withdrawal certificate by the Seller to the Buyer within the given period has the effect of canceling the buy-back operation and the Buy-back Offer initially made to the Seller. Otherwise, the RDS® contract is definitively concluded. Consequently, it is only 48 hours after the acceptance of the buy-back offer that the seller will be paid the price relating to the accepted Buy-back Offer.
Article 6: Validity of the Buyback Offer - Payment Methods and Deadline
The Buyback Offer is valid for 48 hours, including weekends and holidays, starting from its publication date in the customer area under the "My RDS Sales" section®", and its delivery via email and/or notification to the Seller. After this period, if the Offer is neither accepted nor refused, the Buyer may decide whether or not to extend the validity of their Buyback Offer indefinitely and free of charge. If the Offer is not extended, it becomes void, and the Item will then automatically be subject, every 48 hours as long as no decision has been made by the seller, to a new Buyback Offer varying upwards or downwards depending on the new official market price and the new quotations of the day the new Offer is reissued. In case of acceptance of the buyback offer from the "My RDS Sales®" within the allotted 48 hours, payment is made at the Seller's discretion, either by bank transfer (excluding weekends and public holidays), or by check sent by registered mail with acknowledgment of receipt via La Poste, to the address provided by the Seller for this purpose. Payment will only take place 48 hours from the day and time of acceptance of the offer by the Seller, in order to allow the withdrawal period to expire (Article 5). In the event of the Seller's refusal of the Buyer's initial Offer, the Item may be returned free of charge to the Seller a maximum of 7 business days after the date of refusal.
Re-issuing an Offer flat-rate incurs re-expertise fees (100.00€ per 48-hour period) and storage fees (100.00€ per 48-hour period). The Offer Re-issuance operation (Re-expertise + Return to Storage) may be repeated as many times as there are expired 48-hour periods in the absence of a decision to accept or refuse the Offer made by the Seller, with storage thus running from the date of issuance of the latest offer until the date of its acceptance if it is effectively accepted, or if the Seller declines the Buyer's offer, until the day the Buyer receives payment of the aforementioned fees. In the event of the Seller's refusal of the Buyer's non-initial Offer, the Property may be returned to the Seller a maximum of 7 business days after the date of refusal, starting from the day the Buyer receives the payment made by the Seller via bank transfer (IBAN: FR76 1009 6180 6200 0530 7540 131) for the storage and re-expertise fees. If payment does not take place within 48 Hours following the refusal of the Offer, the Seller will receive a first payment reminder for these fees by notification/email, then a second reminder 5 days from the date of their refusal of the offer, then a third and final reminder 10 days from the date of the refusal. If 14 days from the date of refusal of the last Offer the Buyer has still not received a transfer corresponding to the amount of the aforementioned fees, the buyback Offer is deemed automatically accepted. The Seller will thus receive payment of the Offer price minus the aforementioned fees.
Article 7: Free Pickup Fees with Insurance - Free Conditions
Upon acceptance of a buyback offer corresponding to a minimum of 20 grams of 24K gold or equivalents intended for melting, or 2 KG of 24K silver or equivalents intended for melting, or 2000 euros net (tax deducted) of precious metal coins or bars, the buyer reimburses the shipping costs via "Declared Value" (La Poste) to the Seller if the Asset is under €5,000.00. The Buyer also offers home collection fees in the case of pickup by a secure carrier, if the Asset is valued between €5,000.00 and €100,000.00 and the Seller ultimately accepts the purchase offer proposed by the Buyer. If the aforementioned conditions are not met, or if the Kit does not precisely contain the Asset as initially announced by the Seller in their RDS contract®, then the Seller will not be reimbursed for the "Declared Value" shipping costs (La Poste), and if applicable, the Seller shall be required to reimburse the Buyer for the RDS home collection fees® à domicile d'un montant de 250€, par déduction de ces frais du prix de l'Offre de rachat acceptée par le Vendeur en cas d'acceptation de l'Offre de l'Acheteur.
Furthermore, if the buyback offer made to the Seller is refused, or if the customer withdraws within 48 hours after accepting the buyback offer, the Item will be returned free of charge to the Seller by standard uninsured mail within a maximum of 7 business days from the day the Buyer has received their refund by bank transfer to the following RIB (IBAN): FR76 1009 6180 6200 0530 7540 131. In such cases, the Buyer cannot be held responsible in the event of a delay in shipping, or even loss by La Poste or a third party, as the Item travels at the Seller's own risk, unless the Seller decides to pick up their items in person at the Buyer's premises, by appointment.
Article 8: Anticipated Taxes
- Jewelry intended for melting: No tax is applicable upon sale, unless a piece of jewelry has a unit value exceeding €5,000, in which case a 6.5% tax applies.
- Coins, Bars, or debris of precious metals with a purity greater than 90%: The sale is subject to a flat-rate tax known as "TMP" (Tax on Precious Metals), which is 11.5% of the buyback price, including 0.5% for CRDS. The seller may benefit from a partial or total tax exemption, provided they send the buyer in the RDS kit®, la facture initiale d'achat du bien qui y est formellement identifié, au nom du vendeur. Dans ce cas, la "TPV" (Taxe sur la Plus-Value) deviendrait possible en alternative à la "TMP", et remplacerait donc la TMP si c'est en faveur du vendeur. La facture de rachat précisant la taxe est envoyée par mail au vendeur. La somme perçue par le vendeur est nette de taxes (l'acheteur est collecteur de taxe).
- Jewelry, Diamonds, Works of Art, Numismatic Coins from before 1800, Antiques: 6.5% tax on each unit price exceeding €5000.
Article 9: Liability - Applicable Law and Jurisdiction
L'acheteur sera responsable des seuls dommages directs en cas d'inexécution du contrat RDS® prouvée par le vendeur, à l'exclusion de tout dommage indirect ou imprévisible, de quelque nature que ce soit. Le contrat RDS® est soumis au droit Français. Le tribunal compétence en cas de litige sera déterminé en application des règles du code de procédure civile.
